매매계약서에 사용되는 조건 문구들 (Inspection 편)

부동산 매매계약서에 사용되는 조건 문구들 중 Inspection에 관한 문구들을 설명하겠습니다. 부동산 매매시 Inspection 조건은 모기지 와 함께 가장 많이 사용되는 Condition입니다. 이 또한 온타리오부동산협회(OREA)에서 미리 몇가지를 표준화된 형태로 사용하고 있습니다. 우선 가장 일반적인 Home Inspection 조건 문항은 아래와 같습니다.

Inspection of Property by a Home Inspector – General Inspection

This Offer is conditional upon the inspection of the subject property by a home inspector at the Buyer’s own expense, and the obtaining of a report satisfactory to the Buyer in the Buyer’s sole and absolute discretion. Unless the Buyer gives notice in writing delivered to the Seller personally or in accordance with any other provisions for the delivery of notice in this Agreement of Purchase and Sale or any Schedule thereto not later than p.m. on , that this condition is fulfilled, this Offer shall be null and void and the deposit shall be returned to the Buyer in full without deduction. The Seller agrees to co-operate in providing access to the property for the purpose of this inspection. This condition is included for the benefit of the Buyer and may be waived at the Buyer’s sole option by notice in writing to the Seller as aforesaid within the time period stated herein.

“이 오퍼는 바이어가 자신의 비용으로, 자신의 독자적 판단에 만족 할 만한 인스펙션 보고서를 받는 것을조건으로 한다. 만일 바이어가 ‘이 조건이 수행되었다(Fulfilled).’ 는 내용을 서면으로 Seller에게 여기에서정한 날짜 시간 안에, 개인적으로 또는 이 계약서 다른 문구에서 지정한 방법 데로 전달되지 않는 다면, 이계약은 취소가 되며 계약금은 전액 차감없이 바이어게게 되돌려 준다. Seller는 이 Inspection을 위해Inspector가 건물 안에 들어갈 수 있도록 협조한다. 이 조건은 바이어를 위하여 포함된 것으로 바이어는 이조건을 위에서 정한 기간 안에 Seller에게 서면으로 의사를 저달함으로서 조건을 철회(Waiver) 할 수 있다.”

위 문구는 바이어가 Home inspection을 받고 그 결과에 만족하지 않으면 얼마든지 매매계약을 파기 할 수있는 문구입니다. 만일 Seller가 문제가 제기된 부분을 고쳐주겠다고 제안을 했을 때에도 이를 수락하지 않고 바이어가 계약 파기를 할 수 있습니다. 이런 경우 때문에 간혹 Seller 쪽에서는 문제가 제기된 부분을 자신이 고쳐준다면 계약이 계속 유지될 수 있는 조건 문항을 요구하는 경우가 있습니다. 그 때 사용하는 문구가 아래와 같습니다.

Inspection of Property – Seller Allowed to Remedy

This Offer is conditional upon the inspection of the subject property by a home inspector at the Buyer’s own expense and the obtaining of a report satisfactory to the Buyer or, if not satisfactory to the Buyer, a report revealing deficiencies in the property which the Seller is willing and able to remedy.  Unless ….. 이하는 위 문구와 같음으로 생략.

어떤 경우는 Seller가 인스페션 범위를 건물의 구조, 기계적, 전기적 문제로 만 한정하고 바이어가 계약을파기 하지 않고 진행할 수 있는 바이어가 부담 할 수 있는 수리비용 총액 까지 구체적으로 정한 내용의 조건 문항을 요구 할 때도 있습니다. 그 내용은 아래와 같습니다.

 Inspection of Property – Limited Inspection

This Offer is conditional upon the Buyer, at the Buyer’s own expense, having the relevant building(s) inspected by a bona fide home inspection firm to determine that the building(s) are in sound structural and mechanical condition and that the electrical system is safe and adequate, and that, in the written opinion of the home inspection firm, all deficiencies can be remedied at a cost not greater than ($ ). Unless ….. 이하는 위 문구와 같음으로 생략.
