매매계약서에 사용되는 조건 문구들( Buyer의 부동산이 팔리는 조건)

시장이 비수기 이거나 사고자 하는 사람보다 팔고자 하는 매물이 많은 구매자가 유리한 시장 상황(Buyer’s Market)에서는 ‘Buyer의 소유 부동산이 팔리는 조건’으로 오퍼가 들어가는 경우가 종종 있습니다. 이런 경우 사용되는 조건 문구는 아래와 같습니다.

Condition – Sale of Buyer’s Property

This Offer is conditional upon the sale of the Buyer’s property known as . Unless the Buyer gives notice in writing delivered to the Seller personally or in accordance with any other provisions for the delivery of notice in this Agreement of Purchase and Sale or any Schedule thereto not later than p.m. on , that this condition is fulfilled, this Offer shall be null and void and the deposit shall be returned to the Buyer in full without deduction. This condition is included for the benefit of the Buyer and may be waived at the Buyer’s sole option by notice in writing to the Seller as aforesaid within the time period stated herein.

“이 오퍼는 바이어가 여기에 명시된 주소의 부동산이 팔리는 것을 조건으로 한다. 만일 바이어가 ‘이 조건이 수행되었다(Fulfilled).’ 는 내용을 서면으로 Seller에게 여기에서 정한 날짜 시간 안에, 개인적으로 또는이 계약서 다른 문구에서 지정한 방법 데로 전달되지 않는 다면, 이 계약은 취소가 되며 계약금은 전액 차감없이 바이어게게 되돌려 준다. 이 조건은 바이어를 위하여 포함된 것으로 바이어는 이 조건을 위에서 정한 기간 안에 Seller에게 서면으로 의사를 저달함으로서 조건을 철회(Waiver) 할 수 있다.”

위 문구대로 Buyer는 정해진 날짜 안에 자신의 주택이 팔리면 이 주택의 거래를 이미 동의된 계약서 내용대로 진행할 수 있습니다. 하지만 이 문구대로라면 Seller 입장에서는 이 Buyer의 주택이 팔릴 때 까지 정해진 날짜 까지 계속 기다려야 하는 부담을 안게 됩니다. 그래서 이러한 부담을 덜기 위해 이 조건이 정한 날짜 이전에도 여전히 다른 Buyer로부터 Offer를 받을 수 있도록 하면서 새로운 오퍼가 만족스러울 경우 기존 Buyer에게 자신의 부동산 매매 조건을 철회하고 계약을 진행하든지 아니면 계약을 포기 하도록 일정한시간(보통 24시간 또는 48시간)을 주는 내용의 문구가 위 조건과 함께 사용됩니다. 이 문구를 흔히 ‘탈출(Escape) 문구’라고 부릅니다. 그 내용은 아래와 같습니다.

Escape Clause – Buyer’s Property

Provided further that the Seller may continue to offer the property for sale and, in the event the Seller receives another Offer satisfactory to the Seller, the Seller may so notify the Buyer in writing by delivery to the Buyer personally or in accordance with any other provisions for the delivery of notice in this Agreement of Purchase and Sale or any Schedule thereto. The Buyer shall have hours from the giving of such notice to waive this condition by notice in writing delivered to the Seller personally or in accordance with any other provisions for the delivery of notice in this Agreement of Purchase and Sale or any Schedule thereto, failing which this Offer shall be null and void, and the Buyer’s deposit shall be returned in full without deduction.

“Seller가 해당 부동산을 계속 매물로 내놓은 상태에서 만족할 만한 다른 오퍼를 받게 되면, Seller는 개인적으로 또는 이 계약서 다른 문구에서 지정한 방법 데로 이 내용을 서면으로 전달할 수 있으며 Buyer는 이 조건을 서면으로 철회 할 수 있는 ___시간을 갖게되며 만일 이 시간안에 조건이 철회되지 않으면 이 계약은취소가 되며 계약금은 전액 차감없이 바이어게게 되돌려 준다.”

위와 같이 Buyer의 부동산이 팔리는 조건이 들어 있는 오퍼를 받게 된다면 Seller측에서는 ‘Escape’문구가포함되어 있는지도 꼭 확이해야 합니다.
